Zai Technologies LLC Terms of Service

1. Eligibility and account responsibility

You must be at least 18 years old, have legal capacity to agree to these Terms, and provide accurate account information. You are responsible for safeguarding your credentials and for activity conducted through your account.

2. Zai services

Zai provides financial organization, education, investment research, planning tools, and automated features. Certain personalized recommendations are available only through paid Zai Advisory after identity verification, required disclosures, suitability review, and acceptance of a separate Advisory Agreement.

The Advisory Agreement controls if it conflicts with these Terms concerning paid investment-advisory services.

3. Automated advisory model

Zai Advisory is delivered digitally through automated systems. Human personnel may support compliance, operations, security, customer support, and the business, but do not ordinarily provide personalized recommendations to individual clients.

Zai provides non-discretionary advice. You decide whether to follow a recommendation and are responsible for executing transactions through your own financial institutions. Zai does not place trades, move money, take custody of assets, or vote proxies.

Advice is generated when you use the service and reflects the information available at that time. A subscription does not include continuous account monitoring unless Zai expressly agrees otherwise in writing.

4. Your information and decisions

Recommendations depend on the accuracy, completeness, and timeliness of the information you provide or authorize Zai to receive. You agree to review important assumptions and update your profile when your finances, goals, time horizon, constraints, or risk tolerance change.

Investing involves risk, including possible loss of principal. Diversification and asset allocation do not guarantee profit or prevent loss.

5. Artificial intelligence and data limitations

Automated outputs can be incomplete, inaccurate, delayed, or affected by unavailable third-party data. You should review important source data and use appropriate professional assistance for legal, tax, accounting, insurance, or other matters outside Zai's advisory scope.

Nothing in these Terms limits duties Zai owes to advisory clients under applicable law or the applicable Advisory Agreement.

6. Fees and third-party costs

Free features may be limited. Paid features and subscription prices are disclosed before purchase. Investment products, brokers, custodians, banks, data providers, and payment processors may charge separate fees that are not paid to Zai.

Subscription cancellation and refund rights are governed by the purchase channel, applicable law, and any applicable Advisory Agreement.

7. Acceptable use

You may not misuse the service, attempt unauthorized access, interfere with security, introduce malicious code, unlawfully scrape or redistribute content, impersonate another person, or use Zai in violation of law or another person's rights.

8. Third-party services

Zai may connect with banks, brokerages, custodians, identity-verification providers, market-data providers, payment processors, and other third parties. Their services are governed by their own agreements and privacy practices. Zai is not responsible for outages, errors, or decisions controlled by those providers.

9. Privacy

Zai's collection, use, protection, and permitted disclosure of personal information are described in the Privacy Policy. Regulatory and compliance records may be retained when required even after an account is closed.

10. Intellectual property

Zai and its licensors retain all rights in the software, designs, models, content, trademarks, and related materials. Subject to these Terms, Zai grants you a limited, personal, non-transferable, revocable right to use the service.

11. Availability and account termination

Zai may change, suspend, or discontinue features and may restrict access to protect clients, the service, or comply with law. You may stop using Zai and request account deletion, subject to legally required record retention and any subscription-cancellation requirements.

12. Governing law and changes

These Terms are governed by California law, without regard to conflict-of-law principles, except where another law must apply. Zai may update these Terms and will post the revised version with a new effective date. Material changes will be communicated when required.
